Due to economies of scale, the growth rate of costs is lower than the growth rate of revenues.<\/p>\n<p>Cost of online membership and paid content was <span class=\"xn-money\">RMB140.4 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, representing a 21.8% decrease from <span class=\"xn-money\">RMB179.4 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>. The decrease was mainly attributable to decreases of (i) <span class=\"xn-money\">RMB14.4 million<\/span> in costs associated with virtual sports events; (ii) <span class=\"xn-money\">RMB9.8 million<\/span> in content related costs as the Company optimized IP costs associated with third party influencer partnerships; and (iii) <span class=\"xn-money\">RMB5.4 million<\/span> in employee benefit costs (including related share-based compensation expenses) mainly due to the fluctuation of share-based compensation expenses.<\/p>\n<p>Cost of advertising and others was <span class=\"xn-money\">RMB76.4 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, representing a 68.5% increase from <span class=\"xn-money\">RMB45.3 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>, mainly attributable to an increase of <span class=\"xn-money\">RMB23.9 million<\/span> in advertising production costs associated with the expanded advertising services the Company offers and relatively higher cost of certain offline advertising activities.<\/p>\n<p>Gross profit and gross profit margin<\/p>\n<p>Gross profit was <span class=\"xn-money\">RMB477.3 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, representing a 12.7% increase from <span class=\"xn-money\">RMB423.7 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>.<\/p>\n<p>Gross profit margin was 46.0% for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, representing a 3.0 percentage points increase from 43.0% for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>, mainly attributable to an increase in gross profit margin from online membership and paid content and self-branded fitness products.<\/p>\n<p>Gross profit of self-branded fitness products increased by 21.6% from <span class=\"xn-money\">RMB130.1 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span> to <span class=\"xn-money\">RMB158.2 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, mainly attributable to the increase in the sales of self-branded fitness products and improvement in gross profit margin.<\/p>\n<p>Gross profit of online membership and paid content increased by 10.1% from <span class=\"xn-money\">RMB269.4 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span> to <span class=\"xn-money\">RMB296.6 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, as the Company generated higher sales from membership subscription with optimized content related cost.<\/p>\n<p>Gross profit of advertising and others decreased by 6.7% from <span class=\"xn-money\">RMB24.1 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span> to <span class=\"xn-money\">RMB22.5 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, primarily due to the relatively higher cost of certain offline advertising activities.<\/p>\n<p>Fulfillment expenses<\/p>\n<p>Fulfillment expenses were <span class=\"xn-money\">RMB61.9 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, representing a 25.8% decrease from <span class=\"xn-money\">RMB83.4 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>, primarily due to optimized warehousing, packaging and delivery expenses.<\/p>\n<p>Selling and marketing expenses<\/p>\n<p>Selling and marketing expenses were <span class=\"xn-money\">RMB323.4 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, representing a 25.8% increase from <span class=\"xn-money\">RMB257.1 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>, primarily due to increase in promotional and advertising expenses associated with more marketing activities for brand promotion and user acquisition.<\/p>\n<p>Administrative expenses<\/p>\n<p>Administrative expenses were <span class=\"xn-money\">RMB90.5 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, representing a 19.3% decrease from <span class=\"xn-money\">RMB112.0 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>, primarily attributable to decreases of (i) <span class=\"xn-money\">RMB14.6 million<\/span> in expected credit loss in accounts receivables because the Company optimized the receivables management measures; and (ii) <span class=\"xn-money\">RMB7.2 million<\/span> in administrative personnel costs (including related share-based compensation expenses), mainly due to the fluctuation of share-based compensation expenses.<\/p>\n<p>Research and development expenses<\/p>\n<p>Research and development expenses were <span class=\"xn-money\">RMB195.7 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2024<\/span>, representing a 19.6% decrease from <span class=\"xn-money\">RMB243.4 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>, primarily attributable to decreases of (i) <span class=\"xn-money\">RMB39.6 million<\/span> in research and development personnel costs (including related share-based compensation expenses); (ii) <span class=\"xn-money\">RMB4.6 million<\/span> in cloud computing service fees; and (iii) <span class=\"xn-money\">RMB2.1 million<\/span> in outsourcing and other labor costs.<\/p>\n<p>Fair value changes of convertible redeemable preferred shares<\/p>\n<p>Fair value changes of convertible redeemable preferred shares was <span class=\"xn-money\">RMB1.4 billion<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>. The change in the fair value of convertible redeemable preferred shares was primarily attributable to the changes in the valuation of the Company. The Company did not record any further fair value changes of the convertible redeemable preferred shares following the listing of the shares of the Company on the Main Board of the Stock Exchange (the &#8220;Listing&#8221;) as preferred shares liabilities were redesignated and reclassified from liabilities to equity after automatically converting into ordinary shares upon the Listing.<\/p>\n<p>(Loss)\/profit <\/p>\n<p>Net loss was <span class=\"xn-money\">RMB163.4 million<\/span> for the six months ended 2024, compared with a net profit of <span class=\"xn-money\">RMB1.2 billion<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>. Net profit for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span> was primarily due to fair value changes of convertible redeemable preferred shares.<\/p>\n<p>Adjusted net loss (non-IFRS measure)<\/p>\n<p>Adjusted net loss (non-IFRS measure) was <span class=\"xn-money\">RMB160.7 million<\/span> for the six months ended 2024, compared to <span class=\"xn-money\">RMB223.1 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2023<\/span>.<\/p>\n<p>Liquidity and capital resource<\/p>\n<p>We had cash and cash equivalents of <span class=\"xn-money\">RMB1.4 billion<\/span> as of <span class=\"xn-chron\">June 30, 2024<\/span>, as compared to <span class=\"xn-money\">RMB1.6 billion<\/span> as of <span class=\"xn-chron\">December 31, 2023<\/span>. The decrease was primarily due to the use of cash for operating and financing activities. Most of the Company&#8217;s cash and cash equivalents were denominated in Renminbi while most of the time deposits were denominated in U.S. dollars.<\/p>\n<p>Share repurchase programs<\/p>\n<p>Under the <span class=\"xn-money\">HK$16 million<\/span> and <span class=\"xn-money\">HK$100 million<\/span> Share Repurchase Programs announced on <span class=\"xn-chron\">February 14, 2024<\/span> and <span class=\"xn-chron\">May 20, 2024<\/span>, respectively, as of <span class=\"xn-chron\">June 30, 2024<\/span>, the Company repurchased a total of 5,256,200 shares of the Company on the Stock Exchange at the aggregate consideration of <span class=\"xn-money\">HK$35.49 million<\/span> before expenses.<\/p>\n<p>Outlook<\/p>\n<p>2024 will mark a year of comprehensive upgrades for Keep platform with continued execution of the strategies.
